CONFIDENTIALITY AND NONDISCLOSURE AGREEMENTS

PI's are not authorized to sign confidentiality and nondisclosure agreements on behalf of MIT. These agreements are reviewed and signed by the Office of Sponsored Programs (OSP) contract and legal staff.

If a sponsor or potential sponsor requests or sends any of the following:

  • Principal Investigator (PI) sign a confidentiality or nondisclosure agreement for work done as an employee of MIT
  • Sponsor sends their standard agreement or a draft agreement

the PI should complete the attached questionnaire (MS Word document) and forward copies to Karen Shirer, Assistant Director for Administration, CSAIL and Laureen Horton, Sr. Contracts Administrator, MIT Office of Sponsored Programs. Karen and Laureen will consult with the appropriate contract and legal staff and will contact the PI regarding agreement negotiations and/or any necessary modifications to a proposed agreement. OSP negotiates the agreement on behalf of the PI, with their consultation.

Once finalized, the agreement is signed by the Director of OSP or her delegates. The PI is required to counter sign the executed document, acknowledging that it has been read and the PI will adhere to the terms of the contract. The counter signed copy is then sent to the PI's CSAIL Fiscal contact for in-house filing. A copy will also be forwarded to OSP for their files.

Important: If the agreement involves staff or students other than the PI, they are also required to adhere to the agreement and should review and countersign a copy. These copies should be forwarded to the PI's CSAIL Fiscal contact for our files. The PI of any project containing a confidentiality or nondisclosure clause is responsible for informing any staff on the project of their confidentiality obligations and for ensuring that they have acknowledged and agree to adhere to the terms.

OSP contract and legal staff will not review or comment on confidentiality or nondisclosure agreements related to faculty and staff personnel consulting or other non-MIT business related activity.
